APMI registration for PMS distributors
Passing XXI-A is step one; an APMI registration number (APRN) is step two before you can sell.
Since January 1, 2025, every person or entity that distributes portfolio management services must be registered with the Association of Portfolio Managers in India (APMI), and every portfolio manager must make sure its distributors are. SEBI introduced the rule by circular on May 2, 2024 to give the industry collective oversight of PMS distributors; it now sits at paragraph 2.4A of the Master Circular for Portfolio Managers.
Passing NISM XXI-A is therefore step one, not the finish line. APMI registration is step two, and empanelment with each PM comes after that.

- APMI
- The Association of Portfolio Managers in India, the industry body of SEBI-registered portfolio managers. It also sets the benchmarks PMS strategies report against.
- APRN
- APMI Registration Number: the unique code APMI allots to a registered distributor, shown on an APRN identity card (individuals) or a registration letter (firms).
- EUIN
- Employee Unique Identification Number, issued to the employees and authorised representatives of a non-individual distributor who market or sell PMS. It stays with the employee if they move to another APRN holder.

Pass XXI-A
APMI checks the certificate details directly with NISM.

Apply on APMI's distributor portal
Verify mobile and email by OTP, then PAN, name and address through DigiLocker, and the bank account by penny drop.

Upload documents and pay the fee
Documents fetched from DigiLocker or NISM need not be uploaded again.

Aadhaar OTP e-signature on the form, the code of conduct and the APRN terms.

Validity and renewal

What happens to commission without an APRN
SEBI's April 9, 2025 letter to APMI set the transition: commission on new assets sourced from January 1, 2025 by certified but unregistered distributors was withheld until they registered or until July 31, 2025. A distributor not registered by July 31, 2025 cannot source new assets, and the withheld commission is paid back to the clients it was charged to. Commission on assets raised before January 1, 2025 could be paid only until July 31, 2025; after that an unregistered distributor receives none, and it may not be charged to the client.
When a client changes distributor
APMI's guidelines of November 11, 2025:

- check_circleTrail commission to the new distributor may start after a 30-day cooling-off period, at the lower of the old and new distributor's rates.
- check_circleNo other payment or incentive is made because of the change.
How XXI-A tests this
Expect a direct question on which body PMS distributors register with (APMI, not AMFI or SEBI) and the circular's effective date. The trap is confusing APRN with ARN: ARN is AMFI's number for mutual fund distributors and does not replace APMI registration for PMS. Another is assuming APMI registration lasts indefinitely; it lapses with the XXI-A certificate.
